Georgia LLC registration does not end once your company is formed. Georgia LLC Registration, a project by Bestax Accountants, has launched annual registration reminder support for owners who risk missing the state’s April 1 deadline.

Every Georgia LLC must file an annual registration with the Secretary of State. The filing costs US$60 and takes minutes online. You can still overlook it, because your first deadline falls in the calendar year after you form the LLC.

The next filing window opens on January 1, 2027. If you formed your LLC in 2026, that window holds your first deadline.

Know what Georgia LLC registration requires each year

The annual registration keeps your LLC on the state’s records as active. The filing confirms your principal office address and your registered agent. If you skip it, your LLC falls out of compliance with the state.

File between January 1 and April 1

Every business entity registered with the Georgia Secretary of State must file an annual registration. You can file from January 1, and the deadline is April 1 each year.

You can also pay ahead. The state lets you file for the current year plus the next one or two years, up to three calendar years in total. Prepaying removes two deadlines from your calendar. If your company details change, you still update them through an amended annual registration.

Plan for your first-year deadline

New LLC owners miss this rule most often. Your first annual registration is not due in the year you form the LLC. The filing is due between January 1 and April 1 of the following year.

Say you formed your LLC in June 2026. No annual registration is due for 2026. Your first annual registration is due by April 1, 2027.

The gap between formation and the first filing is long. Many owners forget about the filing by the time the window opens.

Know the fees

The state’s fees are low when you file on time. These Secretary of State fees for an LLC took effect on September 6, 2025:

Filing State fee
Annual registration US$60
Amended annual registration US$30
Late filing penalty US$25, on top of the annual fee
Reinstatement after dissolution US$260

You can file online through the Secretary of State’s annual registration guide, or by paper form with a check or money order. Fees are non-refundable once paid.

Missing April 1 does not close your LLC overnight. The costs and risks grow the longer you wait.

Pay the US$25 late penalty

If you file after April 1, the state adds a US25penaltytoyourUS60 fee. You still have to file. The penalty does not replace the registration.

US$85 is a small cost. The bigger risk comes next.

Respond to a dissolution notice within 60 days

The Secretary of State can administratively dissolve an LLC that fails to file its annual registration. The state sends a notice to your principal office or registered agent address.

You then have 60 days from the date on the notice. To stop the dissolution, you must file the required registrations and pay the fees and penalties within that window.

The notice only works if it reaches you. If your registered agent address is out of date, or mail goes to an address you no longer check, you can lose the LLC without knowing.

Reinstate within five years

A dissolved LLC can apply for reinstatement within five years of the dissolution date. The reinstatement application costs US$260. Confirm any other amounts you owe through Georgia eCorp before you file.

Your LLC name is held for five years after dissolution, or until you reinstate. After that, another business can take it.

Administrative dissolution can also complicate your banking, your contracts and any deal that needs proof of active status.

Compare the cost of each outcome

Take a hypothetical LLC that owes its 2027 registration:

Outcome What you pay the state
Filed between January 1 and April 1, 2027 US$60
Filed after April 1, before any dissolution US$85
Dissolved, then reinstated US$260 application, plus any other amounts eCorp shows as outstanding

Reinstatement costs you more than four times the on-time fee, before any other amounts you owe. Delays to contracts or banking add to that cost.

How Georgia LLC Registration keeps owners on schedule

The new reminder support is built for owners who formed an LLC and moved on to running the business. The team tracks the dates, so you do not have to.

Get reminders before the deadline

The team sends each client a series of reminders tied to the state’s calendar:

  1. In December, the team confirms your principal office and registered agent details before the window opens.
  2. In early January, the team tells you the window is open and what the filing will cost.
  3. In early March, the team follows up with any client who has not filed yet.
  4. In late March, the team sends a final reminder before the April 1 deadline.
  5. After filing, the team keeps a copy of your confirmation on record for your bank, landlord or accountant.

If you prepay for up to three years, the team records the years covered. Your next reminders arrive before the April 1 deadline of the first unpaid year. Say you prepay for 2027, 2028 and 2029. Your next filing is due by April 1, 2030.

Avoid official-looking mailers

After you form an LLC, you can receive letters that look like state bills. In a December 2022 warning, the Secretary of State cited third-party mailers charging US170.ThecurrentdirectstatefilingtotalforanLLCisUS60.

Georgia requires these mailers to state that they are a solicitation, not a bill or official government document, and that the Secretary of State’s office did not send them. Some mailers leave that statement out, so a missing line does not make a letter official.

If you are unsure about a letter, do not pay it. File directly with the Secretary of State or through a provider you chose yourself.

Keep the rest of your LLC current

The annual registration is the main state filing, but a few other duties sit beside it:

  • Registered agent. Your LLC must always keep a registered agent with a physical Georgia address. A post office box does not qualify.
  • Address changes. If your principal office or agent changes mid-year, you update it through an amended annual registration.
  • Federal beneficial ownership reports. Under FinCEN’s current rules, LLCs created under Georgia law are exempt from Corporate Transparency Act reporting, including LLCs with foreign owners. Some companies formed outside the US and registered to do business here still have to report.
  • Taxes. The annual registration is not a tax return. Your LLC’s federal and Georgia tax filings follow their own deadlines.

“In our experience, owners who miss the filing rarely do it on purpose,” said Irfan Imtiaz, APFA, CA, of Bestax Accountants. “They formed the LLC, got busy, and the first deadline arrived 10 months later. A US$60 filing should never put a business at risk, so we make sure every client knows the date well in advance.”

New and existing Georgia LLC owners can contact the team to set up reminder support or file this year’s registration.
